Terms of Service

1. Description of Service

Poochon is software infrastructure for deploying, monitoring, and iterating on algorithmic trading strategies. The Service includes our hosted control plane, deployment infrastructure, agent-assisted research tools, and user-facing clients.

2. Not a Broker; No Financial Advice

Rombi is not a broker-dealer, investment adviser, money transmitter, or financial institution. We do not:

• Custody, hold, or transmit user funds, securities, or digital assets.
• Provide personalized investment, trading, tax, or legal advice.
• Execute trades in our own name; all trades are placed by user-authored bots under user-controlled exchange credentials.

Any materials on the Service — including documentation, sample strategies, backtest datasets, leaderboards, and agent-generated research output — are provided for informational and educational purposes only and do not constitute a recommendation to buy, sell, or hold any asset.

3. Risk Disclosure

Algorithmic trading involves substantial risk of loss and is not suitable for all users. By using the Service you acknowledge that:

• Past performance, including backtest results, does not guarantee future results.
• Automated strategies can fail due to code defects, connectivity issues, exchange outages, market conditions, or your own configuration.
• You are solely responsible for all trading outcomes, including losses.
• You should only deploy capital you can afford to lose.

4. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract in your jurisdiction to use the Service. The Service is not intended for users in jurisdictions where the operation of automated trading software or access to the venues we support would be unlawful; you are solely responsible for determining whether your use is legal in your jurisdiction.

5. Account Registration and Security

When you register for an account, you agree to provide accurate and current information and to keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and any exchange API keys or signing keys you provide to the Service, and for all activity that occurs under your account. Please notify us promptly at support@poochon.xyz of any suspected unauthorized access, credential compromise, or security incident affecting your account.

6. Subscriptions and Billing

Paid plans are billed in advance on a recurring basis (monthly, unless otherwise stated on the pricing page). By subscribing, you authorize Rombi and our payment processor, Stripe, Inc., to charge your selected payment method for the applicable subscription fee plus any applicable taxes.

Subscriptions auto-renew at the end of each billing period until canceled. We may change subscription prices with at least 30 days’ advance notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new price.

7. Cancellation and Refunds

You may cancel your subscription at any time from the dashboard or via Stripe’s Customer Portal. Cancellation takes effect at the end of the then-current billing period; you will retain access to paid features until that date.

All fees are non-refundable except where required by applicable law. We do not offer pro-rated refunds for partial billing periods, unused features, or inactive accounts.

8. Acceptable Use

You agree not to:

• Reverse-engineer, decompile, or circumvent the security controls of the hosted platform.
• Use the Service to operate strategies that violate exchange terms of service, securities laws, or applicable regulations in your jurisdiction.
• Attempt to gain unauthorized access to other users’ accounts, data, or deployments.
• Resell, sublicense, or whitelabel the hosted platform without our prior written consent.
• Use the Service to engage in market manipulation, wash trading, or any conduct designed to defraud a counterparty or venue.

9. Fair Use, Rate Limits, and Suspension

The Service is intended for normal, good-faith use within the scope of your chosen plan. To protect platform stability and other users, we may enforce reasonable rate limits and usage thresholds on the number of concurrent deployed bots, auto-research iterations, backtest executions, control-plane API requests, and log or telemetry retention.

We may throttle, pause, or suspend your access — in whole or in part — if your usage materially exceeds your plan, interferes with the reliable operation of the Service for other users, involves automated scraping or stress-testing outside the ordinary use of the Service, or appears to circumvent plan limits through multiple accounts. Where practical, we will attempt to notify you before taking action. In cases involving abuse, security risk, or legal concern, we may act without prior notice. Suspended accounts remain subject to accrued fees through the end of the current billing period.

10. Intellectual Property

The Poochon bot runtime is distributed under the terms of its published open-source license. The hosted platform, control plane, client applications, design system, documentation, and the “Poochon” and “Rombi” trademarks are the property of Rombi, Inc. Subject to these Terms, we grant you a limited, revocable, non-exclusive license to use the Service for your own trading activity. You retain ownership of the strategies you author.

11. Feedback

Any comments, ideas, suggestions, or feedback you share with us about the Service (“Feedback”) are voluntary. You grant Rombi a non-exclusive, royalty-free, worldwide, perpetual, irrevocable license to use, reproduce, modify, and incorporate your Feedback into the Service or our other products without compensation or attribution. You retain the right to use your own ideas; we do not acquire any of your pre-existing intellectual property.

12. Third-Party Services

The Service may rely on or integrate with Third-Party Services (including Stripe, Firebase, and Amazon Web Services). Your use of Third-Party Services is governed by their terms and policies, and we are not responsible for Third-Party Services.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for violation of these Terms, non-payment, prolonged inactivity, or conduct we reasonably believe puts the Service, other users, or Rombi at legal or operational risk. You may terminate your account at any time by canceling your subscription and contacting support.

14. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR PROFITABLE, OR THAT ANY STRATEGY EXECUTED THROUGH THE SERVICE WILL YIELD POSITIVE RETURNS.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROMBI, INC., ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR ANY TRADING LOSSES, LOST PROFITS, LOST OPPORTUNITIES, OR LOSS OF DATA, ARISING OUT OF OR RELATING TO THE SERVICE. OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

16. Indemnification

You agree to indemnify, defend, and hold harmless Rombi, Inc. and its officers, employees, and affiliates from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your strategies, your trading activity, your exchange accounts, or your violation of these Terms.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to the Service or these Terms shall be resolved in the state or federal courts located in Delaware, and the parties consent to the personal jurisdiction of those courts.

18. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated “Last updated” date; significant changes may also be communicated by email to the address associated with your account. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

19. Miscellaneous

Entire agreement. These Terms, together with any other terms we reference, constitute the entire agreement between you and Rombi regarding the Service and supersede any prior agreements.

Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

No waiver. Our failure to enforce any right under these Terms is not a waiver of that right.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Force majeure. Neither party is liable for failure or delay in performance caused by circumstances beyond its reasonable control, including natural disasters, war, labor disputes, or internet or infrastructure outages.

Electronic notices. We may provide notices to you electronically, including by email to the address associated with your account or by posting on the Service.
